London-based global payments infrastructure provider OpenPayd is pressing forward with its strategic roadmap, aiming to complete its planned Nasdaq listing by the end of the year. The primary objective behind the public market entry is to secure the necessary capital to fund a major expansion into the United States market, as well as to pursue targeted acquisitions that can accelerate the company’s long-term growth trajectory.

In an interview with CoinDesk, OpenPayd Chief Executive Officer Iana Dimitrova shared that the company is currently navigating the final stages of the U.S. Securities and Exchange Commission’s (SEC) comprehensive review process concerning its proposed business combination with Titan Acquisition Corp. Providing there are no significant external disruptions or unforeseen market shocks, Dimitrova anticipates that the transaction will officially close before the close of the year.

The impending merger and subsequent public debut remain subject to standard closing conditions. These requirements include the registration statement officially becoming effective and securing the necessary approval from Titan shareholders. Once the process is successfully finalized, OpenPayd expects its shares to trade publicly on the Nasdaq under the ticker symbol OP, marking a major milestone for the cross-border payments platform as it transitions from a European market leader into a globally scaled entity.

The U.S. regulatory landscape has evolved significantly, making the North American market increasingly attractive to digital asset and financial technology companies. The development of clearer rules surrounding digital assets and stablecoins has created a more hospitable environment for compliant infrastructure providers. Notably, the introduction of the GENIUS Act established a federal regulatory framework specifically for payment stablecoins, while the SEC has advanced proposed rules tailored to accommodate certain digital assets.

The company’s core business model revolves around providing enterprise clients with secure access to bank accounts, foreign exchange services, and domestic as well as international payment clearing. Furthermore, it supplies the underlying technological infrastructure required to facilitate smooth value transfers between traditional fiat currencies and digital stablecoins. OpenPayd’s impressive roster of clients features prominent industry names, including major crypto exchange Kraken, institutional market maker B2C2, and digital asset trading platform OKX, all of which rely on the firm’s robust payments backbone to support their daily operations.

Financial disclosures released in connection with the Titan Acquisition Corp. merger reveal solid top-line growth. OpenPayd reported generating $73 million in revenue for the fiscal year ended April 30, 2026, marking a notable increase from the $57 million reported during the previous fiscal year. During the most recent twelve-month reporting period, the company recorded $13 million in earnings before interest, taxes, depreciation, and amortization (EBITDA), alongside a net loss of $2.8 million.

A company spokesperson clarified in emailed comments that the reported net loss of $2.8 million is entirely attributable to $5.8 million in one-time, non-recurring transaction costs associated directly with the proposed business combination and merger process.

Reflecting on the strategic rationale behind the North American push, Dimitrova emphasized that the U.S. market presents extraordinary commercial opportunities spanning both traditional cross-border payments and specialized stablecoin utility services. While she acknowledged that ongoing delays in passing comprehensive U.S. digital-asset market-structure legislation represent a minor setback for the industry at large, she firmly stated that these legislative pauses have not altered OpenPayd’s strategic resolve or its timeline to expand aggressively into the region.

More Deals on the Agenda

Mergers and acquisitions are expected to play an increasingly prominent role in OpenPayd’s strategy as the enterprise establishes a foothold in new geographical markets and industry verticals. The company is actively evaluating potential acquisition targets that could instantly equip the organization with valuable regulatory licenses or proprietary technology, allowing OpenPayd to scale and launch operations much faster than it could by building those capabilities entirely from scratch.
