Ripple-backed Evernorth Holdings is moving aggressively to scale up its digital asset reserves, entering into a significant new equity financing agreement with financial services firm Cantor Fitzgerald that could raise approximately $80 million to expand its corporate XRP treasury.
The agreement, formalized on October 23, establishes a structured stock purchase mechanism between Evernorth and CF Principal Investments, an affiliate of Cantor Fitzgerald. Under the terms of the arrangement, Evernorth is permitted to sell up to 5.22 million newly issued Class A common shares over a targeted implementation period of roughly 14 months.
According to an accompanying prospectus filed with the United States Securities and Exchange Commission (SEC), the transaction could generate up to $80.7 million in gross proceeds. Factoring in estimated fees and transaction expenses, net proceeds are projected to land at approximately $78.3 million, calculated using Evernorth’s closing share price of $15.46 on October 22.
The company intends to deploy a substantial majority of the incoming capital toward purchasing additional XRP tokens. The remaining funds are slated to support general corporate purposes, including working capital and active engagement within the broader XRP ecosystem.
Under the mechanics of the stock purchase agreement, the Nasdaq-listed firm maintains the discretion to direct Cantor Fitzgerald to purchase shares periodically at a price equivalent to 97% of their volume-weighted average trading price. This installment-based model provides management with the operational flexibility to time share issuances in alignment with prevailing market conditions and immediate corporate financing needs.
However, the execution of these share sales is governed by strict regulatory and contractual guardrails. Purchases are subject to a general volume restriction capping daily transactions at 20% of the aggregate trading volume during any applicable purchase period. Furthermore, the agreement imposes a strict 4.99% ownership threshold on Cantor Fitzgerald to prevent excessive concentration. Evernorth is also required to pay an initial commitment fee of approximately $522,000, a figure that could potentially increase to $1 million under specific contractual conditions.
As of the announcement, the financing facility has not yet been activated. Evernorth must first secure regulatory effectiveness for its resale registration statement with the SEC and fulfill several other administrative and contractual prerequisites. Consequently, the ultimate capital realized through the arrangement will fluctuate depending on the company’s future share price, daily market liquidity, and the precise volume of equity ultimately brought to market.

Evernorth’s Earlier Filing Opened Another Potential $132 Million Funding Route
The newly minted agreement with Cantor Fitzgerald arrives on the heels of another major regulatory filing that outlines an alternative, highly lucrative capital-raising pathway for the firm. In a separate SEC filing, Evernorth registered the potential issuance of nearly 11.5 million Class A common shares tied to the prospective exercise of outstanding public warrants.
These warrants, originally issued by the special purpose acquisition company that facilitated Evernorth’s transition to the public markets, entitle holders to purchase shares at a fixed strike price of $11.50 each. If investors were to exercise the entirety of these warrants for cash, the maneuver could inject approximately $132.2 million into Evernorth’s balance sheet, eclipsing the gross totals projected under the Cantor Fitzgerald arrangement.
Unlike the structured equity-sale facility, the realization of funds from the public warrants relies entirely on the voluntary decisions of investors exercising their existing financial rights. Evernorth management has indicated that any proceeds generated from warrant exercises would likewise be directed toward general corporate operations, leaving the exact allocation strategy to executive discretion.
These parallel filings underscore the multi-pronged capital strategy Evernorth has pursued since making its debut on the public equity markets in October. Both arrangements offer pathways to significantly expand the company’s financial foundation, though market analysts note that the creation and issuance of additional shares carry inherent dilution risks for existing equity holders.
To mitigate shareholder concerns, Evernorth has maintained a strategic framework regarding capital accumulation. The firm generally targets additional capital raises when its stock trades at a premium relative to the net asset value of its underlying XRP holdings. This market dynamic allows the company to acquire additional tokens efficiently while working to increase the per-share value of the underlying digital assets attributable to investors.
This approach draws a clear parallel to the corporate playbook pioneered by Michael Saylor’s Strategy, which famously transformed the balance sheet of a traditional software firm into a massive Bitcoin acquisition vehicle. Strategy has consistently utilized equity offerings, such as the sale of MSTR shares, to capitalize on investor demand, funneling proceeds directly into its digital asset reserves and creating a replicable blueprint for corporate crypto treasuries.
Evernorth is actively adapting this model for the XRP ecosystem, leveraging its public-market presence to secure continuous streams of capital that extend far beyond initial fundraising rounds. With the pending Cantor Fitzgerald facility and the secondary option of outstanding public warrants now established, the firm has positioned itself to finance further token acquisitions, with the ultimate scope of its treasury expansion dictated by its ability to successfully draw on these equity channels in the open market.
