Binance.US seeks $1B valuation in potential $100M funding round: Report

The US-based digital asset trading platform is pursuing private investment as part of a broader corporate strategy to expand its business operations and navigate a rapidly evolving regulatory and competitive landscape. The potential $1 billion valuation marks a significant recalibration for the company, sitting well below the $4.5 billion pre-money valuation it secured during a banner period in 2022, when it successfully closed a $200 million seed funding round. That earlier capital injection had positioned the platform as a formidable contender in the North American crypto economy before subsequent regulatory headwinds drastically altered the market dynamics.

As part of its outreach for the current capital raise, Binance.US reportedly informed World Liberty Financial—the decentralized finance platform co-founded by US President Donald Trump and his sons—about the funding opportunity. However, despite the outreach, World Liberty Financial will not be participating in the investment round. The connection between the entities carries recent history; last year, the broader Binance ecosystem was embroiled in a controversial $2 billion financial arrangement involving an entity tied to United Arab Emirates royalty and World Liberty, which utilized the platform’s USD1 stablecoin.

The proposed funding round is widely seen as a calculated step in Binance.US’s ongoing efforts to claw back market share against larger domestic and international rivals. The exchange’s growth trajectory was severely disrupted following a landmark 2023 settlement between its global affiliate, Binance Holdings Ltd., and United States regulatory and law enforcement authorities. Under the terms of that sweeping agreement, Binance Holdings agreed to pay a staggering $4.3 billion in penalties and submit to additional compliance monitoring and corporate oversight. Simultaneously, its charismatic co-founder and then-CEO, Changpeng Zhao, stepped down and pleaded guilty to a felony charge related to anti-money laundering compliance failures. Zhao subsequently completed a four-month sentence in a US federal prison before receiving a presidential pardon from Donald Trump in 2025.

The ripple effects of the 2023 regulatory settlement continue to shape the operational realities of both Binance Holdings and Binance.US. While the global parent company worked to satisfy the stringent monitoring requirements imposed by US authorities, its American counterpart was forced to drastically curtail certain operations, pivot its business model to handle only crypto-to-crypto transactions after banking partners severed ties, and lay off portions of its workforce. Regaining solid financial footing and restoring institutional confidence have since become top priorities for the exchange’s leadership team as they attempt to re-establish dominance in the world’s largest economy.

Industry analysts note that a successful $100 million capital raise, even at the reduced $1 billion valuation, could provide Binance.US with the necessary financial runway to invest in technological infrastructure, enhance compliance frameworks, and roll out new product offerings tailored to American retail and institutional investors. The digital asset sector in the United States has experienced significant shifts, characterized by increasing regulatory clarity, the launch of spot cryptocurrency exchange-traded funds, and intensified competition from legacy financial institutions and native crypto firms alike.

The decision to approach high-profile market players like World Liberty Financial underscores the aggressive networking and outreach strategies being employed by the exchange to drum up interest. Although World Liberty opted out of this specific round, the intersection of political figures, traditional finance, and cryptocurrency ventures continues to draw intense scrutiny from market observers, regulators, and journalists alike.

As Binance.US moves forward with its private investment ambitions, the company faces the dual challenge of convincing prospective investors of its long-term viability while proving that it can successfully operate within the strict compliance parameters established by US regulators. The outcome of this funding round will likely serve as a crucial bellwether for the exchange’s ability to turn the page on a turbulent chapter and chart a sustainable course forward in the American digital asset market.
