Binance.US Seeks $100 Million Funding Round at $1 Billion Valuation to Fuel Expansion

Binance.US, the American affiliate of the world’s largest cryptocurrency exchange ecosystem, is reportedly seeking to raise up to $100 million in a new funding round. According to recent reports, this strategic financial maneuver could value the cryptocurrency exchange at approximately $1 billion, marking a significant recalibration of its market worth amid a rapidly evolving regulatory and competitive landscape.

The potential private investment initiative is primarily designed to provide the exchange with the necessary capital to expand its business operations within the United States. However, the proposed $1 billion valuation highlights a stark contrast to the company’s financial peak during the broader crypto market boom. This targeted valuation is well below the $4.5 billion pre-money valuation that Binance.US successfully secured back in 2022, a period during which the platform raised $200 million in seed funding from institutional and private investors.

As part of its outreach for the current funding round, Binance.US reportedly approached World Liberty Financial, the decentralized finance platform co-founded by United States President Donald Trump and his sons. Despite being informed of the capital-raising efforts, World Liberty Financial will ultimately not be participating in the funding round. The connection between the entities carries recent history; last year, Binance found itself embroiled in a controversial $2 billion investment involving an entity tied to United Arab Emirates royalty and World Liberty, which utilized the platform’s USD1 stablecoin.

This proposed funding round is widely interpreted by market observers as part of Binance.US’s broader, calculated efforts to claw back market share against larger domestic and international rivals. The exchange has faced an uphill battle to regain its footing following a major 2023 legal settlement between its global parent company, Binance Holdings Ltd., and United States regulatory and law enforcement authorities.

As part of that landmark agreement, Binance Holdings agreed to pay a staggering $4.3 billion in criminal and civil penalties while accepting stringent additional monitoring, compliance obligations, and oversight. Concurrently, Changpeng Zhao, the charismatic co-founder and then-CEO of Binance, stepped down from his leadership role and pleaded guilty to a felony charge related to anti-money laundering compliance failures. Zhao subsequently completed a four-month prison sentence in the United States before receiving a presidential pardon from Donald Trump in 2025.

The lingering effects of these regulatory enforcement actions deeply impacted Binance.US, which operates independently from the global entity but shares brand recognition and technological roots. The 2023 settlement and subsequent legal pressures forced the American platform to alter its operational strategies, curtail certain services, and navigate a more hostile banking and regulatory environment in the United States. By pursuing this $100 million capital injection, leadership aims to inject fresh momentum into the platform, enhance its competitive positioning, and reassure institutional and retail clients of its long-term viability in the world’s largest economy.

Industry analysts note that while the crypto market has experienced considerable maturation and regulatory clarity in certain sectors, securing venture capital and private equity investment for US-facing crypto exchanges remains a complex endeavor. The adjusted $1 billion valuation reflects both the headwinds the company has faced over the past several years and a realistic assessment of its current market standing relative to competitors like Coinbase and Kraken. Whether this fundraising effort will successfully attract external institutional backing remains to be seen as negotiations continue.
